Fluxco Terms of Service

These Terms of Service ("Terms") govern your use of the Fluxco Platform: our website, customer and supplier accounts, and the tools for specifying, quoting, approving, and tracking transformer projects (the "Platform"), operated by Fluxco ("Fluxco," "we," "us") of Austin, Texas. By using the Platform, you agree to these Terms and to our Privacy Policy. If you use the Platform for a company, you agree on its behalf and confirm you have authority to do so.

1. Using the Platform

The Platform is for businesses buying, selling, or supporting transformers and related equipment. You must be at least 18 and able to form a binding contract to use it. You may use the Platform only for lawful business purposes and in line with these Terms.

2. Accounts

You must give accurate information when you create an account and keep it up to date. You are responsible for keeping your sign-in details confidential and for all activity under your account, including by team members you invite. Tell us promptly at the contact details below if you suspect unauthorized access.

3. Projects, quotes, and orders

The Platform helps customers define project requirements, request and compare quotes, and track work with manufacturers and suppliers. Specifications, estimates, and AI-assisted outputs on the Platform are provided for planning and are not engineering approval; you are responsible for confirming that equipment meets your requirements and applicable codes.

Quotes are valid only for the period and on the terms they state. A purchase becomes binding only when the parties sign a purchase order or other written agreement, and that agreement controls pricing, delivery, warranty, and payment if it conflicts with these Terms. Suppliers are responsible for the accuracy of the quotes and information they submit.

4. Your content

You keep ownership of the specifications, documents, quotes, and other content you submit. You give Fluxco permission to host, use, copy, and share that content as needed to operate the Platform, run your projects, and improve our services, including sharing it with the manufacturers, suppliers, and partners involved in your project. You confirm that you have the right to submit your content and that it does not violate anyone else's rights. We handle personal information as described in our Privacy Policy.

5. Acceptable use

You agree not to:

• submit false, misleading, or unlawful information;

• access accounts, projects, or data you are not authorized to see, or share private links or access codes with people who should not have them;

• interfere with, overload, or try to bypass the security of the Platform;

• scrape, copy, or resell the Platform or its data, or use it to build a competing service; or

• use the Platform to contact other users for purposes unrelated to their projects.

6. Fluxco's rights and third-party services

Fluxco owns the Platform, including its software, design, content, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Platform under these Terms. If you send us feedback, we may use it without obligation to you.

The Platform may link to or rely on services run by others, such as manufacturers, financing and logistics partners, and software providers. Their terms govern your use of their services, and Fluxco is not responsible for them.

7. Disclaimers and limitation of liability

The Platform is provided "as is" and "as available." To the fullest extent the law allows, Fluxco disclaims all warranties about the Platform, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Warranties for equipment come only from the written agreement for that equipment.

To the fullest extent the law allows, Fluxco will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Platform. Fluxco's total liability for any claim relating to the Platform is limited to the greater of the fees you paid Fluxco for use of the Platform in the 12 months before the claim or $100.

8. Indemnity, suspension, and termination

You will defend and indemnify Fluxco against claims arising from your content, your misuse of the Platform, or your violation of these Terms or the law.

You may stop using the Platform at any time. We may suspend or end your access if you violate these Terms, if required by law, or to protect the Platform or other users. Sections that by their nature should survive, including those on content, disclaimers, liability, and indemnity, continue after termination. Ending access does not cancel obligations under signed orders.

9. Fluxco Text Messaging Program

By providing your mobile number and opting in, you agree to receive text messages from Fluxco, such as project updates, quote and order notifications, and service alerts. Message frequency varies. Message and data rates may apply.

Reply STOP at any time to unsubscribe; you will receive one final confirmation message. Reply HELP for help, or contact us at privacy@fluxco.com or (512) 859-3335.

Carriers are not liable for any delayed or undelivered messages. Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. Your use of this service is also subject to our Privacy Policy, available at https://fluxco.com/privacy.

10. Other important terms

Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Travis County, Texas.

Changes. We may update these Terms by posting a new version here and revising the effective date. For material changes, we will provide additional notice, such as by email to account holders. Continued use of the Platform after changes take effect means you accept them.

General. These Terms, together with the Privacy Policy and any signed agreement with Fluxco, are the entire agreement about the Platform. If any part is found unenforceable, the rest stays in effect. Our not enforcing a term is not a waiver. You may not assign these Terms without our consent.
